May 2008 – The opportunities of minority shareholders to interfere in economic activities are limited
In its ruling made in the civil case on 2 May 2008, the Harju County Court decided not to satisfy the action filed by OÜ Zarenor Invest, a company controlled by investment banker Rain Lõhmus, in declaring the approval of the annual report of the leading bath manufacturer AS Balteco invalid.
Advocate at Law Villu Otsmann, who represented AS Balteco, said that the court agreed with the defendant’s opinion that minority shareholders do not have the right to interfere directly in the terms of the company’s transactions and that any possible omission in the annual report does not mean that its approval is invalid.
